By accessing our website, creating an account, requesting a quotation, making a payment or using any SmartClass Group service, you agree to these Terms and Conditions and any applicable written service agreement.
Acceptance of Terms
These Terms and Conditions form an agreement between you and SmartClass Educational Technology Pvt. Ltd., operating as SmartClass Group.
By using our website, software, application, client panel, sales executive panel or development services, you confirm that you have read, understood and agreed to these terms.
If you are using our services on behalf of a school, company, institution or organisation, you confirm that you have authority to accept these terms on its behalf.
If you do not agree with these terms, you should not use our website or services.
Definitions
SmartClass Educational Technology Pvt. Ltd., also referred to as SmartClass Group, “we”, “us” or “our”.
Any individual, institution, organisation or business purchasing or using our services.
Any website, software, application, ERP, technical support, hosting or related service provided by us.
The particular development or technology work described in an approved quotation or agreement.
The files, software, website, application, documents or other items agreed to be delivered.
Any visitor, client, sales executive or person accessing our website or systems.
Our Services
SmartClass Group may provide services including:
- School ERP and management software.
- School, college, coaching centre and business websites.
- Android applications and web applications.
- Learning Management Systems and online examination systems.
- E-commerce websites and business management systems.
- Custom software design and development.
- Domain, hosting, deployment, maintenance and technical support.
- Consultation, training and digital implementation assistance.
The exact features, modules, delivery items, prices and timelines for a project will be stated in the applicable quotation, proposal or service agreement.
Eligibility and Authority
You must be legally capable of entering into an agreement or be acting under the supervision of a legally authorised person or organisation.
When submitting information on behalf of an institution, you confirm that the information is accurate and that you have permission to communicate and make decisions for that institution.
We may request identity, organisational or authorisation documents where reasonably required to verify a client or prevent fraud.
User Accounts
Certain services may require a client, sales executive, administrator or other account. Users are responsible for:
- Providing complete and accurate registration information.
- Maintaining the confidentiality of login IDs and passwords.
- Preventing unauthorised access to their account.
- Immediately informing us of suspected unauthorised activity.
- Ensuring all activity performed through the account is authorised.
We may restrict or suspend an account if we reasonably believe that it has been compromised, misused or used in violation of these terms.
Quotations and Service Orders
Quotations are prepared according to the information and requirements provided by the client. Unless stated otherwise, a quotation is valid only for the period mentioned in the quotation.
A project is considered confirmed after the client:
- Accepts the quotation or project proposal.
- Provides the requested confirmation or documentation.
- Pays the required advance amount.
- Approves the project scope and selected features.
Verbal discussions, demonstrations and preliminary estimates do not form the final project scope unless included in an approved written quotation or agreement.
Prices and Payments
Service prices will be stated in the applicable quotation, invoice, pricing plan or written agreement. Prices may vary depending on features, customisation, project complexity, hosting requirements and support.
Payment conditions
- The required advance must be paid before project development begins.
- Remaining payments must be made according to the agreed project milestones.
- Domain, hosting, external API, SMS, payment gateway and third-party fees may be charged separately.
- Annual maintenance and renewal fees are payable before the relevant renewal date.
- Payment is considered received only after confirmation in the company's account.
- Clients must provide an accurate transaction reference when requested.
Delay in a required payment may result in a pause in development, delivery, deployment, hosting, maintenance or support.
Project Development
Development begins after project confirmation, receipt of the required advance and receipt of the necessary client information.
Project timelines are estimates based on the approved scope. A timeline may change because of:
- Delayed content, feedback, approval or payment from the client.
- New features or scope changes requested after confirmation.
- Technical limitations or third-party service delays.
- Hosting, server, domain or external API issues.
- Events beyond reasonable control.
Where available, clients may track project milestones and updates through the client panel.
Client Responsibilities
The client is responsible for providing accurate, complete and timely project information, including:
- Logo, text, images, documents and contact information.
- Required access to domain, hosting, server or third-party services.
- Clear instructions about features, workflow and intended users.
- Timely review, testing, feedback and approval.
- Confirmation that submitted materials can legally be used.
- Secure management of credentials after delivery.
SmartClass Group is not responsible for delay, error or loss caused by inaccurate information, delayed approval or materials provided by the client.
Project Changes and Revisions
Reasonable revisions included in the approved quotation will be completed within the agreed scope. A request may be treated as additional work when it:
- Adds a new page, feature, module or user panel.
- Changes an already approved design or workflow.
- Requires additional third-party integration.
- Significantly changes the original project requirements.
- Is submitted after final approval or delivery.
Additional work may require a revised quotation, additional payment and an updated delivery timeline.
Delivery and Acceptance
A project may be delivered through deployment to a live server, transfer of agreed files, account access, application package or another method stated in the project agreement.
The client should review and test the deliverables within the review period stated in the quotation or communicated at delivery. The client must report reproducible scope-related issues with sufficient details.
A project may be considered accepted when the client:
- Provides final approval.
- Begins using the system in normal operations.
- Publishes or launches the delivered project.
- Does not report a material scope-related issue within the agreed review period.
Cancellation and Refunds
Because our development services involve planning, consultation, design, coding, resource allocation and customised work, payments for completed work are generally non-refundable.
Client cancellation
If the client cancels a confirmed project, SmartClass Group may deduct charges for work completed, time spent, resources allocated, third-party purchases and administrative expenses.
Company cancellation
If we permanently cancel a project without a client breach and cannot provide agreed work, any refund will be calculated after deducting completed work and non-recoverable expenses.
Non-refundable items
- Domain registration or renewal fees.
- Hosting and server fees already paid.
- API, licence, SMS, email and third-party service fees.
- Design, development or consultation work already completed.
- Custom digital products already delivered.
A specific quotation or written agreement may contain additional cancellation or refund terms, which will apply to that project.
Intellectual Property
SmartClass Group materials
Our website, brand, logos, designs, documentation, frameworks, reusable modules, internal tools, libraries, templates and general technology remain the property of SmartClass Group or their respective owners.
Custom project deliverables
Ownership or licence rights in custom deliverables will be determined by the relevant quotation or written agreement. Unless otherwise agreed, transfer of agreed client rights occurs only after full payment.
Client materials
The client retains rights in the logo, text, images, documents and other original materials provided by the client. The client grants us permission to use those materials to complete the project.
The client confirms that submitted materials do not unlawfully infringe another person's copyright, trademark, privacy or other rights.
Confidentiality
Each party should protect confidential business, technical, financial and account information received in connection with a project.
Confidential information may be disclosed only to authorised persons who need it for the project or when disclosure is required by applicable law.
Information that is publicly available, independently developed or lawfully received from another source is not treated as confidential under this section.
Acceptable Use
You must not use our website or services to:
- Violate any applicable law or regulation.
- Infringe copyright, privacy, trademark or other legal rights.
- Upload malware, harmful files or unauthorised scripts.
- Attempt to access another user's account, data or restricted system.
- Interfere with website, server, database or application security.
- Send fraudulent, abusive, misleading or unlawful content.
- Copy, resell, reverse engineer or distribute our proprietary software without permission.
- Conduct automated scraping or testing that may damage or overload the service.
Third-Party Services
Projects may depend on external providers, including domain registrars, hosting companies, payment services, maps, email, SMS, social media, app stores or external APIs.
Third-party services are governed by their own prices, terms, availability and privacy policies. We do not control and cannot guarantee the uninterrupted availability of third-party services.
Changes, suspension, failure or price increases by a third-party provider may require changes to the project, additional fees or replacement of the service.
Support, Maintenance and Renewals
Support included with a project is limited to the duration and scope stated in the quotation. Ongoing maintenance, feature upgrades, content updates, server management and priority support may require an active maintenance plan.
Domain, hosting, software subscription and maintenance services must be renewed before expiry. Failure to renew may result in suspension, data unavailability or loss of third-party services.
Maintenance does not normally include new modules, major redesign, recovery from unauthorised modifications or issues caused by third-party services unless specifically agreed.
Warranties and Disclaimer
We aim to provide professional and functional services according to the approved project scope. However, except where expressly agreed in writing, services are provided on an “as available” basis.
We do not guarantee that:
- Every service will operate without any interruption or error.
- Every third-party browser, device, operating system or service will remain compatible indefinitely.
- A website or software product will automatically produce a particular commercial, academic or financial result.
- External hosting, network, API or payment services will always remain available.
Limitation of Liability
To the extent permitted by applicable law, SmartClass Group will not be responsible for indirect, incidental, special or consequential losses resulting from the use or inability to use a service.
This may include loss caused by:
- Client-provided content, instructions or credentials.
- Unauthorised access resulting from compromised client credentials.
- Third-party services, hosting, network or internet failure.
- Changes made by the client or another developer after delivery.
- Failure to maintain backups, renew services or apply required updates.
- Use of the system for an unlawful or unintended purpose.
Any liability that cannot lawfully be excluded will be limited according to the applicable agreement and law.
Suspension and Termination
We may suspend or terminate access to a service where reasonably necessary because of:
- Non-payment of an amount due.
- Violation of these terms or an applicable agreement.
- Fraudulent, unlawful or abusive activity.
- A security risk to users, data or infrastructure.
- Expiry or termination of a required third-party service.
- A valid legal or regulatory requirement.
Where reasonably possible, we may provide notice and an opportunity to resolve the issue before permanent termination.
Governing Law and Disputes
These Terms and Conditions are governed by the applicable laws of India.
The parties should first attempt to resolve any disagreement through good-faith communication and discussion. If a dispute cannot be resolved informally, it may be handled through an appropriate legal process and competent jurisdiction in Assam, subject to applicable law.
Nothing in these terms prevents either party from seeking urgent legal protection where reasonably necessary.
Changes to These Terms
We may revise these Terms and Conditions to reflect changes in our services, technology, business practices or legal requirements.
The latest version will be published on this page with an updated revision date. Continued use of our website or services after an update means the revised terms will apply from their effective date.
Changes to an already confirmed project will not replace the specific commercial terms of its written quotation or agreement unless mutually agreed or required by law.
